Terms of Service

These Terms of Service ("Terms") govern your access to and use of Proposem, operated by Proposem ("we", "us", "our"). By creating an account or using the service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the service.

1. The Service

Proposem is an AI-assisted platform for electrical contractors. It lets you create, edit, share, and manage service proposals and recurring service contracts, maintain a price book and reusable templates, collect electronic signatures, deliver documents to your clients by email or link, track document activity, and show financing estimates. Features vary by subscription plan and may change over time.

2. Eligibility

You must be at least 18 years old and capable of entering a binding contract to use Proposem. The service is intended for business use. By using the service you represent that you meet these requirements.

3. Accounts and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account, whether or not authorized by you. Notify us immediately at support@proposem.com if you suspect unauthorized access. We offer optional two-factor authentication and recommend you enable it.

You agree to provide accurate account and business information. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Subscriptions, Billing, and Promo Codes

Proposem offers a free tier and paid subscription plans. Paid plans are billed in advance on a recurring basis via Stripe. All fees are in USD and are non-refundable except as required by law or at our sole discretion. We may change plan prices or features with advance notice; changes apply from your next billing cycle.

Plan limits (for example, the number of documents generated per month) reset each billing cycle. Unused capacity does not roll over. Limits are enforced automatically.

You may cancel your subscription at any time through the billing portal. Cancellation takes effect at the end of the current billing period; you will retain paid features until then.

Promo codes are offered at our discretion, may carry their own conditions, have no cash value, and may be modified or revoked if we reasonably believe a code is being abused.

5. AI-Generated Content

Proposem uses AI to draft proposals, contracts, scopes of work, pricing suggestions, and price-book matches. AI output is a starting point and may contain errors, omissions, or inaccuracies, including incorrect pricing, quantities, or scope items. You are solely responsible for reviewing, editing, and approving all content, including all prices and totals, before sending any document to a client.

We make no warranty that AI-generated content is accurate, complete, legally compliant, or fit for any particular purpose. Do not rely on AI output without independent review.

6. Your Content

You retain ownership of all content you upload or create in Proposem (company data, photos, price book, proposal and contract text, and similar). By using the service you grant us a limited license to host, store, process, transmit, and display your content solely to operate, secure, and improve the service.

You represent that you have all rights necessary to upload your content and that it does not infringe any third-party rights or violate any law. This includes client information: you are responsible for having the right to enter your clients' contact details into Proposem and to send them documents and emails through the service, in compliance with applicable privacy and anti-spam laws.

We may remove content that we reasonably believe violates these Terms or the law.

7. Your Clients and Your Documents

Proposem is a tool, not a party to any agreement between you and your clients. Every proposal or service contract created through the service is solely between you and your client. We do not guarantee that any client will accept, sign, pay, or perform, and we are not responsible for any dispute between you and a client.

Proposem does not process payments between you and your clients. How you invoice and collect payment for your work is entirely between you and your client.

Template content, default terms and conditions, and other sample language provided in the service are offered for convenience only and are not legal advice. Contract requirements for electrical work vary by state and locality. You are responsible for ensuring that documents you send comply with the laws that apply to your business, and we recommend having an attorney review the contract language you use.

8. Electronic Signatures

Proposem facilitates electronic signatures on proposals and service contracts. Electronic signatures are generally valid in the United States under the federal ESIGN Act and state UETA laws when the parties consent to sign electronically. Each signer in Proposem is asked to affirmatively consent before signing, and we record attribution details (time, device type, a truncated browser identifier, a one-way hash of the IP address, and, for emailed links, the recipient email the link was issued to) to support the integrity of the signature.

You are responsible for ensuring that electronic signatures are valid and enforceable for your specific documents and jurisdiction, and for retaining copies of executed documents. Some document types are excluded from e-signature laws. Proposem is not a law firm, is not a notary service, and does not provide legal advice.

9. Financing Estimates

The financing calculator produces illustrative payment estimates based on the price and rate inputs you choose. Proposem is not a lender, loan broker, or credit services organization, does not offer or arrange credit, and does not make any representation that financing is available on the displayed terms. Actual financing, if any, is between your client and a lender. You are responsible for how financing figures are presented to your clients and for compliance with any advertising or lending disclosure laws that apply to you.

10. Acceptable Use

You agree not to:

• Use Proposem for any unlawful, deceptive, or fraudulent purpose
• Send unsolicited bulk email or spam through the service
• Attempt to reverse-engineer, decompile, scrape, or exploit the service
• Probe, scan, or test the vulnerability of the service or bypass its security or access controls
• Circumvent usage limits, plan restrictions, or metering
• Upload malware or harmful content
• Impersonate another person or entity
• Resell or sublicense access to the service without our written consent

11. Professional Responsibility

Proposem does not provide electrical engineering, legal, tax, accounting, or licensing advice. You are solely responsible for the accuracy of your work product and for compliance with the electrical codes, licensing requirements, permitting rules, consumer protection laws, and contractor regulations that apply to your business and each job you perform.

12. Third-Party Services

The service depends on third-party providers (including hosting, database, email delivery, payment processing, and AI providers). We are not responsible for outages or failures of third-party services, though we will make reasonable efforts to restore service promptly.

13. Termination

You may stop using the service and request account deletion at any time. We may suspend or terminate your access if you materially violate these Terms, if required by law, or if we discontinue the service, in which case we will give you reasonable advance notice where practicable so you can export your data. Sections of these Terms that by their nature should survive termination (including Sections 5 through 9 and 14 through 17) survive.

14. Disclaimers

The service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the service will be uninterrupted, error-free, or free of viruses or other harmful components, or that any document created with the service will be accepted, signed, enforceable, or paid.

15. Limitation of Liability

To the maximum extent permitted by law, Proposem and its owner, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business, arising out of or related to your use of the service. This includes losses arising from AI-generated content, pricing errors in documents you send, disputes with your clients, or the enforceability of any signed document.

Our total liability for any claim arising from these Terms or your use of the service will not exceed the greater of the amount you paid us in the 12 months preceding the claim or one hundred US dollars ($100). Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

16. Indemnification

You agree to indemnify and hold harmless Proposem and its owner from any claims, damages, and expenses (including reasonable legal fees) arising from your use of the service, your content, the documents you create and send to clients, your dealings with your clients, or your violation of these Terms or applicable law.

17. Dispute Resolution and Arbitration

Please read this section carefully. It requires individual arbitration of most disputes and waives class actions and jury trials.

Informal resolution first. Before filing any claim, you agree to email us at support@proposem.com with a description of the dispute and give us 30 days to try to resolve it.

Binding arbitration. Any dispute arising out of or relating to these Terms or the service that is not resolved informally will be resolved by binding arbitration on an individual basis, administered by the American Arbitration Association under its Consumer Arbitration Rules. The arbitration will be held in Washington State or remotely by videoconference. Judgment on the award may be entered in any court of competent jurisdiction.

Class action waiver.All disputes must be brought in the parties' individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. Both parties waive any right to a jury trial. If the class action waiver is found unenforceable as to a particular claim, that claim (and only that claim) shall proceed in court.

Exceptions. Either party may bring an individual claim in small claims court, or seek injunctive relief in court for infringement or misuse of intellectual property or unauthorized access to the service.

Your right to opt out. You may opt out of this arbitration agreement by emailing support@proposem.com with the subject line "Arbitration Opt-Out" within 30 days of first accepting these Terms. Opting out does not affect any other part of these Terms.

18. Governing Law

These Terms are governed by the laws of the State of Washington, without regard to conflict of law provisions. Subject to Section 17, any disputes shall be resolved in the state or federal courts located in Washington State, and you consent to their jurisdiction.

19. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice in the app at least 14 days before they take effect. Continued use of the service after the effective date constitutes your acceptance of the updated Terms.

20. General

These Terms and the Privacy Policy are the entire agreement between you and us regarding the service. If any provision is found unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, sale, or transfer of the service.
