These Terms of Service ("Terms") govern your access to and use of Proposem, operated by Proposem ("Company", "we", "us"). By creating an account or using the service, you agree to these Terms.
1. The Service
Proposem is an AI-assisted proposal generation platform for trade contractors. It allows you to create, edit, share, and manage service proposals, collect e-signatures, and communicate with clients via email.
2. Eligibility
You must be at least 18 years old and capable of entering a binding contract to use Proposem. By using the service you represent that you meet these requirements.
3. Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at support@proposem.com if you suspect unauthorized access.
We reserve the right to suspend or terminate accounts that violate these Terms.
4. Subscriptions & Billing
Proposem offers a free tier and paid subscription plans (Starter, Pro). Paid plans are billed monthly via Stripe. All fees are in USD and are non-refundable except as required by law or at our sole discretion.
Plan limits (e.g., number of proposals per month) reset on each billing cycle. Unused capacity does not roll over.
You may cancel your subscription at any time through the billing portal. Cancellation takes effect at the end of the current billing period; you will retain access until then.
5. AI-Generated Content
Proposem uses Anthropic's Claude to generate proposal drafts. AI output is provided as a starting point and may contain errors, omissions, or inaccuracies. You are solely responsible for reviewing, editing, and approving all proposal content before sending it to clients.
We make no warranty that AI-generated content is accurate, complete, legally compliant, or fit for any particular purpose. Do not rely on AI output without independent review.
6. Your Content
You retain ownership of all content you upload or create in Proposem (company data, photos, proposal text, etc.). By using the service you grant us a limited license to store and process your content solely to operate and improve the service.
You represent that you have all rights necessary to upload your content and that it does not infringe any third-party rights or violate any law.
7. Acceptable Use
You agree not to:
- Use Proposem for any unlawful purpose or in violation of any regulations
- Attempt to reverse-engineer, decompile, or exploit the service
- Circumvent usage limits or access controls
- Upload malware, spam, or harmful content
- Impersonate another person or entity
- Resell or sublicense access to the service without our written consent
8. E-Signatures
Proposem facilitates electronic signatures on proposals. By using the e-signature feature, you acknowledge that electronic signatures are legally binding in many jurisdictions. You are responsible for ensuring that e-signatures are valid and enforceable for your specific use case and jurisdiction. Proposem is not a law firm and does not provide legal advice.
9. Disclaimers
The service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
We do not warrant that the service will be uninterrupted, error-free, or free of viruses or other harmful components.
10. Limitation of Liability
To the maximum extent permitted by law, Proposem and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business, arising out of or related to your use of the service.
Our total liability to you for any claim arising from these Terms or your use of the service will not exceed the amount you paid us in the 12 months preceding the claim.
11. Indemnification
You agree to indemnify and hold harmless Proposem from any claims, damages, and expenses (including reasonable legal fees) arising from your use of the service, your content, or your violation of these Terms.
12. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice in the app at least 14 days before they take effect. Continued use of the service after the effective date constitutes your acceptance of the updated Terms.
13. Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict of law provisions. Any disputes shall be resolved in the state or federal courts located in California.
